Merger by absorption

Grupo Álava has undertaken a corporate restructuring process, which has culminated in a merger by absorption through which the activities previously carried out by “ALAVA INGENIEROS TELECOM, S.L.” (Tax ID No. B-80070113) and “TRAZADIA, S.L.” (Tax ID No. B-86386109) will now be carried out by the company “ALAVA INGENIEROS, S.A.”:

• Registered Office and Tax Address: 16 Albasanz St., 28037 Madrid

As a result of this merger by absorption, the two absorbed companies have been dissolved and terminated without liquidation, transferring their respective corporate assets in their entirety to “ALAVA INGENIEROS, S.A.,” which has acquired, by universal succession, the rights and obligations of those companies, thereby subrogating itself, therefore, “ALAVA INGENIEROS, S.A.” has assumed the same contractual position that “ALAVA INGENIEROS TELECOM, S.L.” and “TRAZADIA, S.L.” respectively held .

As a result of this merger, the resulting company will benefit from the experience and track records of the two acquired companies, enabling the Álava Group to undertake larger projects and substantially improve its internal processes to achieve excellence in customer service.
